From Series A to Series B: How Your Finance Function Needs to Evolve

Closing a Series A is a significant milestone. It is also the moment when the financial demands on your organization change fundamentally. What worked at seed a part-time bookkeeper and a spreadsheet model will not carry you through Series B due diligence.

Investors at the Series B level are institutional. Their diligence is deep, their expectations are high, and their patience for financial disorder is low. Companies that treat financial infrastructure as a back-office concern rather than a core operational function consistently underperform in this process.


What Needs to Change Between Series A and Series B


•       Financial reporting: Move from founder-built spreadsheets to board-quality reporting packages with commentary and variance analysis.

•       Forecasting cadence: Implement monthly rolling forecasts that update based on actual results.

•       Accounting infrastructure: Ensure your accounting system (whether QuickBooks, NetSuite, or equivalent) is clean, current, and audit-ready.

•       KPI dashboards: Build dashboards that connect your financial metrics to your operational KPIs the metrics that actually drive your model.

•       Intercompany and transfer pricing: If you have an Israeli parent and a US subsidiary (or vice versa), your intercompany agreements must be formalized and documented.


The CFO's Role in a Series B Process


At Series B, the CFO (or your fractional CFO partner) is a central figure in the fundraise — not a support role. They lead the financial due diligence response, present the financial model to investors, and negotiate with precision on terms that will define your company's cap table for years.

This is not the time to be learning on the job. It is the time to have someone in the room who has closed rounds before.
