Raising Your Seed Round: What Investors Actually Want to See in Your Financials

At Halo TLV, we have prepared financial packages for seed rounds across dozens of hi-tech companies. The mistakes we see are consistent and fixable, if you catch them early enough.

You have a compelling deck. You have traction. You have warm introductions. And then an investor asks to see your financials and the conversation stalls.

This happens more than founders realize. Not because the business is bad, but because the financial package is not built to investor standards. Here is what institutional seed investors actually look for and what most early-stage companies fail to provide.

The Core Financial Package for a Seed Round

•       Historical P&L (even if short): Twelve months of actual revenue, costs, and margins formatted clearly, with explanations for any anomalies.

•       A bottom-up financial model: Not a top-down TAM calculation. Investors want to see how your revenue is actually built by channel, product, or customer segment.

•       Cash flow forecast: A rolling 18-month projection showing when you will run out of money under different scenarios.

•       Use of funds: A specific breakdown of how the raised capital will be deployed not 'product, sales, and marketing.'

•       Cap table: Clean, up-to-date, with all instruments (SAFEs, options, convertibles) properly reflected.

The Questions Your Financials Must Answer Before Investors Ask Them

Sophisticated investors will probe your assumptions. They want to know your CAC and LTV even if your dataset is small. They want to understand your gross margin trajectory and what drives it. They will ask about your largest cost lines and the logic behind your growth projections.

A financial package that anticipates these questions signals that you are building a real company, not just a product. It shifts the conversation from skepticism to engagement.

How We Help

We prepare our clients' financial packages from the investor's perspective because we have been on both sides of the table. We build models that hold up under scrutiny, and we prepare founders to defend their numbers confidently.
